Opening a Swiss company from abroad · Gilly (VD)

No director resident in Switzerland, no Swiss company. We are that director.

It is the law (art. 718 para. 4 and 814 para. 3 CO): the commercial register will not enter an SA or Sàrl unless someone able to represent it is resident in Switzerland. A foreign founder is blocked before he even starts. We lift that lock: we sit on your board, we sign, and your registered office is with us in Gilly. You run the company from abroad.

One plan

A director who sits,
a seat that stands up.

For a founder who does not live in Switzerland, the two go together: a resident director entered in the register, and a registered office at the address of a working company. No tiers, no hidden options. Twelve companies at most.

Resident director + registered office

from CHF 2’800 / month

Director mandate for an SA or Sàrl (from CHF 1’500) and the Circle (CHF 1’300). Risk premium based on capital, turnover, sector and the beneficial owner’s country.

  • Entered in the register as a corporate body, with signature
  • Notices, meetings, minutes, accounts filed
  • AVS and VAT deadlines monitored
  • Registrable legal seat c/o Hymotek SA, mail scanned within 4 working hours, Swiss e-mail address
  • Company formation organised by us: capital deposit account, notary, commercial register (official fees extra)

Confidential application. Decision within five working days.

Registered office only

CHF 1’300 / month

For a company that already has a director resident in Switzerland. Twelve companies at most: an address shared by hundreds of companies is worth nothing to a bank.

  • Registrable legal seat, mention c/o Hymotek SA
  • Domiciliation declaration, confirmation for your bank
  • Mail sorted and scanned within 4 working hours
  • Swiss e-mail address in the company’s name
  • Ten-year archiving, art. 958f CO

The path

Three steps,
then your company exists.

Nothing to pay before the decision. Within five working days you know whether we take your file.

01

Confidential application

An online file: who you are, what the company will do, where the capital comes from. We acknowledge receipt within 48 hours.

02

Interview and decision

An interview, then a written answer within five working days. If the answer is no, you will know why.

03

Your company is registered

Capital deposit account, notary, commercial register: we organise, you sign. From registration, we sit on the board and your mail arrives with us.

The proof

A signature
has a name.
Here it is.

Legal representation of your company is not entrusted to a corporate name, but to a person who answers with his own assets.

Who signs for your company

The person

Raphaël Quiblier, director

Managing director of Hymotek SA, resident in Switzerland: the qualification art. 718 para. 4 CO requires.

Verifiable

In the commercial register since 2008

Hymotek SA, entered on 29 February 2008, seat in Gilly since 2010, share capital of CHF 100’000 fully paid up. Raphaël Quiblier board member with individual signature since 2010. More than 150 million francs of transactions, all categories.

The scarcity

Twelve companies. Not thirteen.

A ceiling we impose on ourselves. It justifies the price and gives us an honest reason to decline.

The question we are asked

Why ten times
the market price?

Because it is not the same product. Domiciliation at 90 francs is a line in a register. A director at 200 francs a month does not read your accounts — until the day the AVS fund claims.

What the law has required since 1 October 2026

No AML affiliation, no lawful domiciliation agent.

The revised Swiss Anti-Money Laundering Act came into force on 1 October 2026. Anyone who professionally provides an address as the seat of companies is now an “adviser” under art. 2 para. 3ter AMLA and must be affiliated to a self-regulatory organisation recognised by FINMA (art. 14 AMLA). Applications are due by 1 December 2026. Without affiliation: no new clients may be accepted, and up to three years’ imprisonment (art. 44 FINMASA).

Many providers do not know this yet, or do not say so. Pavillon filed its affiliation application within the legal deadline. Before entrusting your seat to anyone, ask for their affiliation: FINMA will keep a public register of affiliated advisers (art. 18b AMLA).

The third trade

Investing together
in a Swiss
property project.

A private individual alone does not reach the interesting transactions. Together, he does.

We source the transaction, structure the vehicle, commit our own capital and run the works.

Neither an offer, nor a solicitation, nor a recommendation within the meaning of the Financial Services Act. No transaction is presented publicly: access is reserved to qualified investors (art. 5 FinSA), after an interview and a written opting-out. Risk of total loss of capital.

The address

A working
company.
Not a counter.

Route du Pavillon 2, in Gilly, is not a business centre rented by the month: it is the seat of Hymotek SA, a registered seat of the director's own companies, with staff and premises.

Before a register, a bank’s compliance desk or a tax audit, that difference is everything. Gilly: district of Nyon, between Geneva and Lausanne, two minutes from the A1.

Questions

What we are asked
before
signing.

Ask a question
Can I set up a Swiss company without living in Switzerland?

Yes, but not on your own. Art. 718 para. 4 CO, and art. 814 para. 3 CO for the Sàrl, requires that at least one person resident in Switzerland be able to represent the company: a residence requirement, not a nationality one. Without a resident director, the register enters nothing. That is the purpose of the director mandate.

What does it cost to apply?

Nothing. The application is free and without obligation: a file, an interview, a written decision within five working days, and reasons given in writing if the answer is no. The procedure.

Why CHF 1’300 a month when the market charges 90?

Because it is not the same product. At 90 francs you buy a line in a register at an address shared by hundreds of companies — something a bank’s compliance desk spots in one query. Here the address is the seat of a working registered seat of the director's own companies, the Circle takes twelve companies only, and nothing is hidden. The Circle.

What justifies CHF 1’500 a month for a director?

Risk, not hours. The registered director is personally liable (art. 754 CO), answers jointly and severally for AVS social contributions and VAT, and must notify the court in the event of over-indebtedness (art. 725 CO). The market hides this price between 2’400 and 4’800 francs a year: at that rate, nobody reads your accounts.

Do you provide an office or a meeting room?

No, and we prefer to say so up front. Pavillon is not a business centre: we do not invoice square metres you would never use. We provide an address that stands up before a register, a bank and a tax audit, and a director who actually sits.

My company has had a formal notice from the commercial register. Can you step in?

Often, yes, and speed matters. With no director resident in Switzerland and no valid address, the company falls under art. 731b CO: dissolution by the court, liquidated under bankruptcy rules. Once a file is accepted, the compliant address is in place within 48 hours. See company in organisational default.
